class="article-meta">

EDTIJ — Escobar, Della Togna, Icaza & Jurado
Panama · September 2026 · Estimated reading time: 7 minutes

Between February and April 2026, Panama’s Ministry of Economy and Finance, the Public Registry, and the General Directorate of Revenue carried out the largest cleanup of the Panamanian corporate registry in years: more than 280,000 legal entities dissolved ex officio. The number alone doesn’t say much for an active, up-to-date company. What should raise concern is that one of the suspension triggers behind that process — failing to register beneficial ownership information — does not depend on the company having tax debts. It can apply even if the company is current with the DGI.

1. Two waves of dissolution, one message

On February 27, 2026, the MEF began dissolving 180,346 legal entities from the 2016 corporate universe — 62% of the total — for failing to pay the flat annual fee for more than ten years, under Article 318-A of the Fiscal Code. The process was coordinated between the Public Registry, which executed the dissolution, and the DGI, which cancelled each entity’s Single Taxpayer Registry (RUC). On March 31, an additional 26,000 companies were dissolved, and by April 30 a third batch of approximately 100,000 legal entities from the 2017-2025 period was added, bringing the total to more than 280,000 dissolutions in under three months.

The underlying message isn’t only fiscal. When announcing the process, the authorities themselves noted that companies should check whether they had other suspension triggers on file at the Public Registry — resident agent, accounting records, beneficial ownership — because those can also lead to dissolution in future batches.

Suspension trigger

What activates it

Consequence

Arrears on the flat annual fee

More than three consecutive periods without paying the annual flat fee

Suspension and eventual dissolution under Article 318-A of the Fiscal Code

Absence of a resident agent

The resident agent resigns and is not replaced in time

Suspension of corporate rights

Incomplete accounting records

Missing accounting books or supporting records required by Law 52 of 2016

Suspension and possible penalties

Unregistered beneficial ownership

Information is not registered with the Superintendency of Non-Financial Regulated Subjects (SSNF)

Immediate suspension, regardless of the company’s tax status

2. Why beneficial ownership is the most overlooked trigger

Unlike the flat annual fee, which shows up on any account statement, the beneficial ownership registry lives in a private system run by the Superintendency of Non-Financial Regulated Subjects (SSNF), created by Law 129 of 2020. The entity is required to provide its resident agent with beneficial ownership information, and any change to it, within 30 days of the designation or the change; many active companies simply haven’t updated that registry because no one reminded them, not because they are deliberately non-compliant.

Failing to register is, on its own, grounds for immediate suspension in the Public Registry’s system, unrelated to the company’s payment status on the flat fee or to its actual economic activity.

A company can be completely current with its taxes and still end up suspended for not having updated its beneficial ownership registration. Suspension does not distinguish between an inactive company and one operating normally.

3. What it means to be suspended or dissolved

A suspended company cannot carry out transactions, execute contracts, or hold assets in its name with full legal effect. If the suspension progresses to dissolution, directors and officers can face personal liability, and the company effectively ceases to exist as a legal subject for practical purposes.

The risk extends beyond the corporate sphere. If that company is the vehicle through which a foreigner holds a real estate or securities investment under the Permanent Resident as Qualified Investor subcategory — now regulated by Executive Decree 17 of 2026 — the company’s dissolution can jeopardize the continuity of that investment and, with it, the applicant’s or resident’s immigration status. The decree requires proving each year that the investment and its ownership remain in force; a dissolved company can prove nothing.

4. How to check whether your company is at risk

Panama’s Public Registry enabled a public search of suspended folios as part of this process. Before assuming your company is in order, it’s worth reviewing three specific points:

The status of the company’s folio at the Public Registry, including whether it shows a marginal note of dissolution.

Whether the designated resident agent is still current and active.

The date of the last beneficial ownership update filed with the SSNF, and whether it matches the actual corporate structure.

What to do now

If you manage or advise Panamanian companies, especially structures with little recent activity, check the folio at the Public Registry before a third party — a bank, a buyer, an immigration authority — points it out first. Updating beneficial ownership is, of the four suspension triggers, the easiest to fix and the easiest to forget.

This article is informational and does not constitute legal advice for a specific case. Confirm your company’s status directly with the Public Registry and your resident agent.

Key facts

Item

Detail

Dissolved universe (2016)

180,346 legal entities, 62% of that year’s total, as of February 27, 2026

Second batch

26,000 additional companies, March 31, 2026

Third batch (2017-2025)

Approximately 100,000 legal entities, by April 30, 2026

Underlying rules

Law 52 of 2016 and Article 318-A of the Fiscal Code; Law 129 of 2020 (beneficial ownership)

Authorities

MEF, Public Registry, DGI (RUC), Superintendency of Non-Financial Regulated Subjects (SSNF)

Beneficial ownership update deadline

30 days from designation or any change

Consequence

Suspension of corporate rights; dissolution if not corrected

If you need to verify your company’s status or bring its beneficial ownership registration up to date, our team can guide you through the analysis.

Talk to EDTIJ

#CorporateLaw#BeneficialOwnership#PublicRegistry#Compliance#CorporateDissolution#Panama#EDTIJ

Between February and April 2026, Panama dissolved more than 280,000 inactive companies.
